Terms of Service

These Terms of Service ("Terms") form a binding legal agreement between you ("Customer," "you," or "your") and Restoration Apparel Company LLC dba RESTO Athletic ("RESTO," "we," "us," or "our"). These Terms govern your access to and use of:

The RESTO Platform (RESTO AI Designer, RESTO X Designer, RESTO Express, APIs, websites, design tools, and related software), and
All RESTO custom-manufactured apparel, accessories, banners, products, samples, shipping, and order-related services.

By accessing or using any RESTO service, platform, website, or product (collectively, the "Service"), you agree to these Terms. If you do not agree to these Terms, do not use the Service.

1. Definitions

"Account" means your RESTO user account.
"Content" means any text, images, artwork, rosters, logos, or assets uploaded, submitted, or generated through the Service.
"Custom Products" means apparel or goods manufactured to your design, roster, size selection, or specifications.
"Order" means any purchase, deposit, add-on order, or transaction for Custom Products.
"User" means an authorized individual accessing the Service on behalf of a Customer.
"White Label" refers to optional reseller features allowing customers to use the RESTO Platform under their own brand.

2. Accepting These Terms

By signing up, placing an order, or using the RESTO Platform, you represent that you:

Are at least 18 years old (or have parental consent).
Have authority to bind your organization (if acting on its behalf).

3. Account Responsibilities

You agree to:

Maintain accurate account information.
Protect access to your email for magic-link authentication.
Accept responsibility for all activity under your Account.
Notify us immediately of unauthorized access.

4. Use of the Service

You may use the Service for lawful purposes, including:

Designing apparel, creating artwork, uploading rosters, and formatting custom designs.
Ordering manufactured goods.
Accessing your dashboard.
Using APIs within rate limits.

You may not:

Hack, reverse engineer, or interfere with the Service.
Upload malware.
Harass others or upload harmful, obscene, defamatory, or discriminatory content.
Violate copyright, trademark, publicity, or privacy laws.
Use the Service as general cloud storage.
Share login links or improperly access another customer's account.

5. Right to Reject Artwork or Content

RESTO may refuse, edit, or cancel any Order containing:

Pornographic, obscene, or violent content.
Hate speech or discriminatory content.
Libelous or defamatory material.
Unlawful or infringing content.
Content that violates sports league restrictions.
Logos or trademarks you do not own or have rights to.

5.1 Proof of Licensing

RESTO reserves the right to request proof of licensing or ownership for any copyrighted or trademarked material (including professional team logos, university marks, or major brand logos) prior to production. Failure to provide such proof upon request may result in order cancellation.

You agree to indemnify RESTO against intellectual property claims arising from your Content.

6. Pricing, Fees & Payment

6.1 Transparent Fees

RESTO charges no hidden fees. Only the following fees may apply:

Plus-size upcharges: +$2 for 2X, +$3 for 3X, etc.
Setup fee: $25 for add-on orders under 8 pieces.
Sample fees: $15 per sample + Flat $5 shipping. Samples may be returned for credit.

6.2 Payment Terms

Unless otherwise agreed in writing (e.g., for approved institutional Purchase Orders), full payment of the remaining balance is required prior to shipment. RESTO retains title to all goods until the total invoice amount is paid in full. Failure to pay the balance may result in delayed shipment, for which RESTO is not liable.

6.3 Shipping Rates

Shipping is charged at the following percentages of merchandise total:

$0–$999 → 9%
$1,000–$2,999 → 8.5%
$3,000–$4,999 → 8%
$5,000+ → 7.5%

Add-on orders typically incur a minimum $12 carrier rate, depending on weight. The calculated shipping charge is inclusive of any applicable tariffs, duties, and handling fees.

7. Production Timelines

7.1 Standard Production

Production generally ships within 14 calendar days after:

Your artwork is approved,
Your roster details are submitted, and
Your deposit is paid.

We recommend allowing 3 weeks for doorstep delivery.

7.2 Peak Season Adjustments

7.3 Expedited, Rush, and Economy Options

Availability, timelines, and surcharge rates for expedited options are subject to change based on production capacity and peak demand. The following rates are minimum surcharges, and the final rate and delivery schedule will be confirmed at the time of Order submission.

Expedited: Minimum +15%
Rush: Minimum +30%
Economy (Save 10%): Delivery after peak season (available during high-volume months).

8. Shipping, Delivery & Abandonment

8.1 Shipping Method and Customs Cooperation

Orders generally ship without signature required for customer convenience. If required by customs or the carrier, the Customer agrees to help in a timely manner if any customs release information is required, including communicating directly with the customs authority or shipping carriers to facilitate delivery.

8.2 Proof of Delivery

Carrier tracking marked "Delivered" is considered proof of delivery. RESTO is not liable for packages after the carrier confirms delivery.

8.3 Lost or Delayed Packages

If a package appears lost or delayed, contact your representative immediately. We will assist with carrier investigations.

8.4 Reporting Shipping Issues

You must report missing items, defects, or shipment errors within 15 days of delivery. After this period, orders are deemed accepted.

8.5 Abandoned Goods

Orders that are completed but remain unpaid or unclaimed for more than 60 days may be considered abandoned. RESTO reserves the right to dispose of, donate, or recycle abandoned goods without refund to the Customer.

9. Add-On Orders

Add-on orders under 8 pieces incur a $25 setup fee.

10. Product Information, Colors & Materials

RESTO primarily uses high-quality polyester fabrics designed for high-performance sports, as this is required for the sublimation printing process. Cotton/poly blends might be used for spot printed items. All fabric uses are subject to availability and may be substituted if necessary to maintain order timelines. If a Customer requires an exact, non-substitutable fabric, they must state this clearly during the Order process and accept that the Order may be delayed until that specific material becomes available again. Fabric upgrades may be available.

10.1 Color and Texture Variation

Color accuracy may vary due to monitor display differences. Furthermore, the same color value may appear differently on different fabric textures (e.g., flatback mesh vs. smooth spandex). Minor color variation is inherent in the sublimation process and does not constitute a defect. By approving your order, you acknowledge these potential variations. If exact color matching is critical, you must order a physical sample first.

11. Returns, Exchanges & Quality Guarantee

11.1 Custom Products Are Non-Refundable

Because all products are made-to-order and customized, no cash refunds are issued for any reason.

11.2 Factory Defects

If a product is defective due to a manufacturing error, RESTO will replace the identical garment at our expense. To qualify:

Report within 15 days of delivery.
Provide photos and a description.
Return the defective item if requested.
Only incorrect or defective items qualify (not sizing issues, color perception, or incorrect customer input).

11.3 Customer Errors & Roster Data

RESTO is not responsible for errors caused by:

Incorrect sizes submitted.
Approving artwork that contains mistakes.
Color expectations based solely on screen images. Customer acknowledges that a color variance of up to 8% is possible between digital mockups and physical manufactured goods due to the sublimation process and fabric absorption.

Roster Accuracy: RESTO utilizes an automated system to import roster data exactly as entered or uploaded by the Customer. We do not spell-check names or verify jersey numbers. We are not responsible for errors contained in the roster files you submit.

12. Samples & Sizing

Samples are available for $15 each + $5 shipping.
Samples may be returned for credit toward your purchase.
Please note that samples are predesigned stock items used for quality and sizing reference; they are not produced using the customer’s specific custom design or artwork.
RESTO's sizing follows standard U.S. unisex sportswear sizing, generally with a comfortable/loose cut.
Sizing charts use body measurements, not garment dimensions.

13. Ordering Process

Submit your design request or enter the design tool.
A RESTO representative will contact you.
Approve artwork.
Submit roster & details.
Pay deposit.
Production begins.
Order ships when complete (pending balance payment).

14. Reseller & White Label Users

If you use RESTO's White Label, Dealer, or API features to resell products to third parties:

You agree that you are the sole provider of customer support to your end-users.
RESTO has no direct contractual relationship with your customers.
You accept full liability for claims made by your customers against you regarding fit, design choices, or delivery timelines.

15. Intellectual Property and Content License

15.1 Customer Ownership (Order Content)

You retain all ownership rights in the specific elements you upload or input for an Order, defined as "Order Content." This includes your organizational logos, proprietary text, rosters, and trademarked artwork.

15.2 RESTO Ownership (Design Configuration)

The overall structure, placement, layout, generated patterns, and specific Design Configuration of the final garment (including any design created by RESTO representatives or the RESTO AI Designer) shall be the exclusive intellectual property of RESTO. You receive a license to use this Design Configuration only on the garments purchased through your Order.

15.3 Internal Process and AI License

You grant RESTO a non-exclusive, perpetual, irrevocable, royalty-free, worldwide license to use all Order Content as input data for the following internal purposes:

(a) AI Training: Training and improving the algorithms of our AI Designer, RESTO AI Designer, and related software.
(b) Internal Feature Development: Analyzing design trends, optimizing the user interface, and developing new internal platform features.

15.4 Public Template Display License (Opt-Out)

Unless you explicitly opt out pursuant to the instructions below, you grant RESTO a non-exclusive, perpetual, irrevocable, royalty-free license to use, reproduce, modify, and publicly display the design resulting from your Order, including all Order Content (logos, text, and artwork) as it appears in the mockup. This license is solely for the purpose of displaying the design as a template, starting point, or style inspiration gallery for other users of the Service ("Public Gallery Display").

Opt-Out: You may prevent the use of your Order Content for Public Gallery Display by submitting a written opt-out request to [email protected]. Opt-out requests will be processed within thirty (30) days of receipt.

15.5 Content Protection and Use Restriction

RESTO guarantees that it will not knowingly include or permit the direct reproduction of any Order Content in the final manufacturing artwork or design assets provided to any other customer. Designs displayed in the gallery under 15.4 are for inspirational purposes only and cannot be ordered directly; the customer must customize the design and add their own content before placing an Order.

16. Company Intellectual Property

All RESTO logos, trademarks, software, platform features, documentation, and website content, including the Design Configuration as defined in Section 15.2, belong to Restoration Apparel Company LLC or its licensors. You may not use our IP without written permission.

17. API Access

API access is available for supported plans.
1000 requests per hour rate limit.
Sharing API keys is prohibited.
Excessive or abusive usage may result in suspension.

18. Privacy & Data Protection

See our Privacy Policy for full details. RESTO uses industry-standard encryption and security (AES in transit/at rest). We only access customer data when needed for support or production.

19. Third-Party Services

RESTO integrates with third-party providers including AWS, Render, Backblaze, Cloudflare, Stripe, and AI providers (e.g., OpenAI, Anthropic). Each third-party has its own terms; RESTO is not responsible for their performance.

20. Service Availability & SLA

Target uptime: 99.9%
Support response within 24 hours
Planned maintenance may occur with notice

21. Limitation of Liability

To the fullest extent permitted by law, RESTO is not liable for lost profits, indirect or consequential damages, data loss, or delays caused by carriers, weather, customs, or global events. RESTO's total liability is limited to the amount you paid in the last three months.

22. No Warranties

The Service and Products are provided "as is." We do not guarantee uninterrupted access, error-free operation, or specific performance results.

23. Indemnification

You agree to indemnify RESTO for claims arising from your Order Content, your use of the Service, your violation of these Terms, or your infringement of third-party rights.

24. Dispute Resolution & Governing Law

24.1 Informal Resolution

24.2 Arbitration

All disputes are resolved by binding arbitration under AAA rules in Kansas City, Missouri.

24.3 No Class Actions

Disputes must be handled individually.

24.4 Governing Law

These Terms are governed by the laws of Missouri, without regard to conflicts of law.

25. Changes to Terms

We may update these Terms with 30 days' notice. Continued use constitutes acceptance.

26. Cancellation of Account

You may cancel your Account at any time. Data is retained up to 90 days after closure. No partial refunds for cancelled services or orders.

27. Marketing and Promotional Use

Unless you opt out, RESTO may display your organization name, team photos voluntarily submitted, testimonials you provide, and the corresponding Order Content and Design Configuration from your Order. You may opt out of all promotional and public display uses (including those listed in Section 15.4 and this Section 27) by emailing [email protected].

28. Miscellaneous

These Terms constitute the entire agreement.
Invalid terms do not affect the remainder.
Failure to enforce a term is not a waiver.
Neither party is liable for force majeure events.
You may not assign these Terms; RESTO may assign as needed.
